Certified Copies

Business owners may encounter situations where a Certified Copy of their incorporation documents or qualification documents if the company has registered to transact business in other states, may be required. Additionally, it is fairly easy to lose or misplace important documents in our busy lives today. Requesting a Certified Copy delivers another true copy of your state-filed documents to keep with your company records.

What are Certified Copies?

The certificate of incorporation is the certificate that specifies the birth of the company as a separate entity. A company legally comes into existence or becomes a separate legal entity on the date stated in its certificate of incorporation.

Why Your Business needs a Certified Copy

There are some reasons why your business should consider getting certified copies. Here are just a few:

  • Open a bank account.
  • Foreign Qualification of your corporation (required by Secretary of State)
  • Need to replace lost documents
  • If you are selling the business
  • By a lender when applying for a business loan
  • Potential investors
  • To renew business licenses

The most common Certified Document is "Certified Copies of Articles of Incorporation and All Amendments Thereto.”

When are certified copies necessary?

You may need to obtain certified copies in the following scenarios.

  • Replace a lost or misplaced original — You must keep originals of your formation documents or other state-filed documents with your company records. If these are lost or misplaced, you must request a certified copy from the state of formation or qualification.
  • Provide additional proof of authenticity — Many states allow businesses to file documents electronically or via fax. These documents may not look as “official” as paper-issued documents. Requesting a certified copy adds proof of authenticity that other authorities may require.
  • Opening a bank account — A certified copy of your company’s formation documents may be needed to open a business bank account.
  • Foreign qualification — If you register your company to transact business in another state, a process known as foreign qualification, you will typically require a certificate of good standing to be filed along with the application for authority. A few states require a certified copy of the formation either instead of the certificate of good standing or in addition to it.
